"Subscription Service" provided by FORUM8 Co., Ltd. (hereinafter referred to as FORUM8) is a service based on this contract.
Clause 1 (Purpose)
(1) This subscription service (hereinafter referred to as "this service") provides FORUM8 products and technical support to users based on the articles and clauses in this agreement during the subscription contract term.
(2) The terms of this service are stipulated in "The License Agreement for Program Use" that you agreed at the purchase.
Clause 2 (Scope)
(1) Software developed by FORUM8 and on sale at the time of service provision will be covered by this service.
Products that are developed by other company and sold by FORUM8 are not covered by this service. Products now on sale can be checked on the product information page on http://www.forum8.co.jp/english.
(2) Software covered by this service is limited to ones that are not changed or modified.
(3) FORUM8 can exclude specific software from this service with advance notice on the website etc.
Clause 3 (Contents)
(1) Users shall ask technical inquiry, troubles about software, bags via tel and email.
(2) In principle, FORUM8 provides advice based on the user's request of inquiry within the reception time of technical support via tel and e-mail. Our technical support staff will not visit users.
(3) When having our technical support, you shall cooperate to inform us your basic information (such as explanation of the condition and displayed screen) required for us to answer and advise on your question. You shall pay for the cost required to collect the information.
(4) We may not be able to provide this service if users change, modify, misuse, or use without standard.
(5) Technical support will be provided only in Japanese.
(6) This service includes software download service and maintenance information service like free version up via email.
We also provide free product upgrade during the subscription contract term. (Products to be upgraded is specified by FORUM8.)
(7) Technical support that FORUM8 provides is just an advice on technical inquiries about our software, and we do not guarantee that contents will be realized as users want.
In the case that the answer for the inquiry is clearly described on the help, electronic manual, or website, we may answer by the reference to that page.
Clause 4 (Term and Price)
(1) Product price includes subscription cost of first year. After one year from purchase, your contract will automatically be renewed at the subscription price in the table below. FORUM8 may change this contract, the contents and price of this service without notice to the users.

| Price | List price*1 in the table is the total cost of product price and option price (product options, floating option, USB option, etc.) In the event that upgrading fee is unveiled, then it will be added to the cost below. Under the subscription contract, products are available if you pay the cost for upgrading. The price is based on the following table in principle but is subject to change according to each product.

(2) Service period
This service will terminate in one year. Two or three years contract is also available (Contact our sales staff one month before the renewal month). The license validity period is on a monthly basis. A temporary suspension of this contract is not admitted.
(3) Payment
Invoice is closed on the 20th, and users shall pay its fee at the end of the next month through a bank transfer.
Clause 5 (Procedure)
(1) An invoice for subscription is sent to users (excluding ones who make an advance payment) at the time of product purchase and subscription contract renewal.
(2) Rental Access License registration form need to be filled out prior to usage.
(All users with Subscription License(s) may opt for "Rental Access License", and all users with Subscription Floating License(s) may opt for "Rental Floating Access License".) An invoice with an amount based on your usage will be sent to you at 3 month intervals from the month you registered for your Rental Access License(s). Once you use Rental Access License in a month, then it will be counted as usage for one month regardless of the number of times or dates of utilization. The month that you don't use the Rental Access License is not counted.
Clause 6 (Agreement Termination)
(1) This maintenance/support service cannot be cancelled after the application is made or during the contract. Even if you cancel this contract, we cannot refund the cost of the contract nor consumption tax that you have paid.
(2) In case of a corporation, if you and/or your company will be involved in a merger, stock swap, stock transfer, or making changes to the members of the shareholders holding more than 50% of voting rights, you shall notify FORUM8 in advance of such transactions/changes, and in the event of such transactions/changes, FORUM8 can terminate this License Agreement without any notice.
Clause 7 (No Assignment)
Users shall not assign or transfer its right of this service to any third party.
Clause 8 (Unsubscribe)
To unsubscribe from this service, submit the subscription service cancellation form to your FORUM8 sales contact person or to forum8@forum8.co.jp.
Only cancellation form submitted one month prior to subscription expiry date can be validated.
